The Electricity Control Board (ECB) seeks the services of a suitably qualified, experienced and competent person to join its workforce in the following positions:
HEAD: GOVERNANCE, RISK AND COMPLIANCE (WINDHOEK)
Description
Key Performance Areas:
Corporate Governance
Develop, implement, and monitor a corporate governance framework which is aligned to the NAMCODE and King IV.
Advise the board on the fiduciary duties of the board.
Design and implement an optimal board induction programme that covers the legislative operational environment of the company.
Plan and coordinate independent board assessments and evaluations.
Design and implement an appropriate policy and procedure for the filing and retention of documents.
Oversee the implementation of robust governance frameworks, ensuring compliance with regulatory requirements and industry standards, and proactively identifying areas for improvement to enhance organizational efficiency.
Coordinate and facilitate regular governance meetings, fostering effective communication and collaboration among stakeholders, to ensure alignment with organizational objectives and the continuous improvement of governance practices within the section.
Company Secretariat
Direct company secretarial function as they relate to the following:
– Drafting, in consultation with Heads of Divisions and Departments, CEO and Chairperson of the Board and Committees, meeting agendas.
– Ensure that notices of meetings, preparation of agenda and circulation of board packs are done timely.
– Arrange presentations to board of directors and Board Committees meetings.
– Take and produce accurate minutes to record the business transacted at the meetings and the decisions and resolutions taken.
– Advise the board on the constitution of the board and that of the board committees.
Liaise between management and board and ensure that board resolutions are communicated.
Risk Management
Develop, manage, and oversee the enterprise-wide risk management framework, policy and processes.
Co-ordinate risk management activities.
Develop and manage a Risk Management Register.
Develop and maintain an accurate asset register.
Provide input to related staff in the Annual report development.
Develop and execute risk management strategies, collaborating with cross-functional teams to establish mitigation plans, fostering a culture of risk awareness and proactive risk management within the section.
Legislative and Regulatory Compliance
Implement a legislative compliance policy.
Monitor the legislative compliance through monthly and quarterly reporting.
Advise on remedial and corrective action to the ECB management and board.
Advise on the regulatory compliance interventions
Leadership
Manage the Governance, Risk and Compliance function.
Develop and manage the budget of the section and ensure efficient utilisation of resources.
Personal Development
Take self/career development responsibility by setting and achieving personal goals.
Participate in regular skill development workshops.
Stay updated on emerging trends through ongoing research.
Requirements
Minimum Educational Qualification and Work Experience:
A relevant bachelor’s degree in law (LLB) (NQF Level 7).
Five (5) years’ experience in Governance and Ethics.
Added Advantage:
A Company Secretarial qualification.
Admitted Legal Practitioner.
Postgraduate Degree in Law.
Diploma in Business or Corporate Governance.
Certified Governance Practitioner/or Certified Ethics Officer.
Competencies:
Knowledge of Corporate Governance Principles and Practices.
Knowledge of ECB Best Practices, Policies and Procedures.
Knowledge of relevant laws, regulations, and compliance requirements.
Familiar with audit processes and assurance methodologies.
Strategic thinking and planning skills.
Analytical and Interpersonal skills.
Risk management skills.
Communication skills; both written and oral.
Computer literacy.
Emotional intelligence.
Creative and innovative.
Ability to develop and implement governance frameworks.
Ability to interpret and apply regulatory requirements to the organisation.
