JOB PURPOSE
The purposes of the job is to provide Board Secretarial and legal advisory services on matters of
Corporate Governance and compliance and to provide leadership in the development of legal
strategies and ensure a robust legal and regulatory framework for provision of services and
development of legal instruments that guides the organisation. The job oversees the organisation’s
engagements on all legal and regulatory matters, contracts and leads any litigations or disputes
handling process needed to ensure the engagements are legally sound.

KEY RESPONSIBILITIES AND TASKS
▪ Develop and implement the Organisation’s Legal strategies;
▪ Provide legal advice and ensure that legal risks have been identified and mitigated;
▪ Ensure sound contract and legal agreement management and administration by supervising and
undertaking timely review and preparations of contracts, regulations and other legal documents in
order to safeguard the interest of NHE;
▪ Enhance good corporate governance by formulating and recommending policies and procedures
relevant to the Organisation;
▪ Coordinates and administer disputes involving the organisation and litigation matters including
instructions to external legal counsel.
▪ Provision of secretarial services to the Board by ensuring optimal management and administration
of the board and committee meetings;
▪ Develop, review and update the Board annual work plan, Board charters and other governance
instruments;
▪ Coordinating Board evaluations, governance and legal audit;
▪ Provide guidance on director’s duties and responsibilities in line with good governance principles
▪ Advise on business transactions, claims liability and potential litigation matters
▪ Ensure overall company compliance with all relevant statutory, regulatory and governance
requirements;
▪ Overseeing conveyance matters;
▪ Maintaining custody of all legal documents, contracts and security documentation for the
Organisation;
▪ Conduct business operations related legal research and make recommendations as required.
▪ Monitor changes in the national and international legislation that has a bearing on the business
and advice.
▪ People management
▪ Developing and managing the legal department budget;
Minimum Requirements:
▪ An LLB degree with admission as legal practitioner in Namibia. (NQA 8)
▪ Five years’ relevant managerial working experience, having managed corporate governance,
legal and compliance in a commercial/business environment.
▪ Membership of relevant professional bodies is an advantage.
▪ Valid Code B driver`s licence.
Competencies and knowledge required:
▪ Conversant with relevant NHE’s legislation, regulations and principle.
▪ Good understanding of compliance and governance responsibilities and duties
▪ Ability to identify and resolve legal, compliance and governance challenges
▪ Highly knowledgeable about current and envisaged regulations, laws and governance
directives;
▪ Good writing skills, administrative skills, good communication skills (verbal & written),
▪ Good negotiation skills;
▪ Flexibility and adaptability to deal with a range of different tasks;
▪ Good people management and teambuilding skills;
▪ Ethical conduct, high integrity, honesty and reliability;
▪ Ability to work under pressure and independently.
