MANAGER LEGAL & COMPANY SECRETARY
Purpose of Position
This is a senior management position reporting directly to the Principal Officer/MD and the Board and serve as the Legal and governance expert, provide legal advice, company secretarial functions and ensure the implementation of good governance policies and practices.
Key Responsibilities and Accountabilities
- Provide legal advice and ensure that legal risks have been identified and mitigated
- Ensure sound contract and legal agreement management and administration
- Advise on business transactions, claims liability and potential litigation matters
- Conduct businessoperations related legal research and make recommendations as required.
- Monitor changes in the national and international legislation that has a bearing on the business and advice.
- Coordinatesand administer litigation matters including instructions to external legal counsel
- Develop and update the Board annual work plan and board charters
- Ensure the optimal management and administration of the board and committee meetings
- Provide guidanceon director’s dutiesand responsibilities in line with good governance principles
- Ensure overall company compliance withall relevant statutory, regulatory and governance requirements
- Develop and recommend policies, procedures and relevant corporate governance standards
Required Education and Experience
An LLB degree with admission as a legal practitioner, has 5-7 years of relevant working experience in the legal, governance, company secretarial and compliance environments, of which 2 years should be in the insurance industry. Well-developed knowledge of governance and the management of Board and Committee records. Membership of relevant professional bodies is a distinct advantage.

- Conversant with the legislation, regulations and principles in the insurance industry
- Good technical knowledge and extensive understanding of the insurance industry.
- Good understanding of compliance and governance responsibilitiesand duties
- Ability to identify and resolve legal, compliance and governance challenges
- Highly knowledgeable about the current and envisaged regulations, laws andgovernance directives
- A good understanding of the insurance, reinsurance and underwriting industry practices
- Analytical, decisive and problem-solvingability
- Excellent communication, interpersonal and networking skills
- High level of emotional intelligence
- Ethical conduct, sound reputation and high levels of integrity
