KEY PURPOSE:
The position structurally reports to the Board of Directors and is administratively accountable to the Chief Executive Officer. The position is an integral link between the Board and the Executive Management team of Telecom Namibia. Provides a strategic, corporate governance custodial role to the Board, by facilitating the effective functioning of the Board in all aspects and provide secretarial services. Ensure that broad governance principles and legislation are adhered to and adopted in the company.
Key Result Areas WILL INTER ALIA INCLUDE:
- Performs regulatory and governance compliance and advisory services.
- Develops, review and updates the governance policy and related instruments, processes and procedures.
- Provides company secretarial and administrative function to the board
- Facilitates timely execution of Board decisions and resolutions.
- Maintains Board records, company records and statutory register
- Facilitates Board training and orientation.
- Guides Board of Directors in fulfilling its fiduciary duties and responsibilities.
- Liaises with all internal and external stakeholders and shareholders
- Manages sectional human resources, finance resources and company secretary and legal affairs.
KEY qualifications and experience REQUIRED:
The ideal candidate should hold a graduate qualification in Accounting, Finance or an LLB qualification with a minimum of five (5) years experience in a corporate environment of legal, governance, compliance and risk with extensive knowledge in corporate governance, integrated reporting standards, Board meeting and standards.
KEY KNOWLEDGE REQUIRED:
Knowledge of King IV, Namcode, Company Law, Corporate Governance, Microsoft, Telecom Namibia business understanding, CRAN, Telecommunications Act, Annual General Meetings, stakeholders engagement, Company Code of Conduct, excellent writing, minute taking and reporting of minutes, recording and archiving, and exceptional communication competencies.

Exceptional communication skills with the ability to express complicated concepts to all levels of stakeholders both verbally and in writing, Exceptional listening, analytical and problem solving skills; strong negotiations skills, persuasive with the ability to influence others and meet deadlines. Excellent interpersonal and networking skills with people at all levels and ethical conduct, high integrity and discretion when handling confidential information.
