Company Secretary | MTC

The Company Secretary is responsible for all matters relating to the Board of Directors, its meetings and board sub-committee meetings, assisting the Board of Directors in the efficient administration of a company. The Company Secretary advises the Board on regulatory requirements and compliance with relevant laws and for ensuring that decisions of the Board of Directors are implemented.

Responsibilities:

Provide guidance to the Directors regarding their duties, responsibilities and powers.

Observe legislation and regulatory environment and provide Directors collectively and individually with guidance as to their duties and responsibilities in line thereto.

Ensuring compliance to Namcode, King 4 and NSX Listing Requirements.

Reporting to the Board any failures by the comany or its Directors relating to compliance Companies Act, Memorandum of Articles or the Company’s own rules.

Organise and design Board meetings, agendas and packs and distribute information to Directors well in advance of AGM, Board or Committee meetings.

Ensure that minutes of all shareholders’ meetings, Directors’ meetings and meetings of any committees of the Directors are proplerly recorded.

Ensure that meetings are conducted according to terms of reference, legal and good corporate governance requirements.

Contribute to meeting discussions as and when requried, and advise members of the legal, governance, accounting and tax departments of the implications of proposed policies.

Deal with correspondence, collate information and write reports, ensuring decisions made are communicated to the relevant company stakeholders.

Follow up on actions from meetings.

Maintain the Director and shareholder registers and supporting documentation.

Maintain Statutory Books and Committee Terms of Reference and safe keeping of formal company registration documentation.

Pay dividends and manage share option schemes and take a role in share issues, mergers and takeovers.

Qualifications and Experience:

10 years’ working experience with minimum 5 years’ experience in a Company Secretarial role of a Public Company.

A Legal, Financial or Business degree.

Chartered Secretarial qualification as a postgraduate, will be an advantage.

Knowledge and exposure to the Telecommunications industry would be an advantage.

Excellent command of MS Office Suit.

Highly organized with strong emphasis on planning and time management.

Good numerical ability and understanding of relevant legislations.

Committed and must have the ability to work independently.

Superb communication skills, verbal and written.
