DESCRIPTION
Debmarine Namibia requires the services at a Company Secretary. The successful incumbent will provide corporate information. first line legal services, corporate governance guidance and compliance assurance to the shareholders, board of directors and the Executive Committee (EXCO).
IN YOUR ROLE AS COMPANY SECRETARY, YOU WILL BE REQUIRED TO:
- Advises the Board on responsibilities, duties and powers of the directors and the Board using legislative knowledge of legal and company requirements.
- Performs secretarial duties to the Debmarine Namibia Board, its subcommittees and other meetings as directed.
- Ensures that Board procedures are followed and reviewed regularly by advising during meetings and through regular governance reviews.
- Ensures that the Company complies with the Companies Act. the Shareholders’ Agreement, its Memorandum and Articles of Association and the Terms of Reference of the Board and various Board committees by advising on any potential acts of non-compliance during, for example. Board meetings.
- Compiles, check for accuracy and consolidation of information to assist the Board in decision-making by compiling Board and ancillary documents in co-operation and with the assistance of EXCO.
- Distributes agendas. Chairman s notes and minutes of Board and shareholder meetings and distribution of decisions taken, action points etcetera of various meetings.
- Implements Board policies and disseminate information and instructions from the Board by updating and circulating the minutes which includes various action lists which are actualized after various meetings on a current status basis
- Advises on Corporate Governance and business ethics when and if required and by being involved in directors training and induction.
- Advises the Board and/or EXCO on legislation affecting the Company and the consequences of failure to comply therewith Ijy informing on current and pending legislation.
- Maintains statutory books and administration under the Companies Act including all statutory returns
- Ensures that policies and procedures are in place to ensure that legal notices and similar documents are served at the correct premises, directed to the correct persons and that fines or lost legal cases do not occur as a result of non- compliance.
- Administers contracts by providing relevant legal input into contract input as well as the safe keeping of all related documents.
THE FOLLOWING COMPETENCIES ARE KEY TO THIS POSITION:

- Knowledge of Companies Act and various relevant laws and regulations

- Good written and verbal communication
DO YOU MEET THE FOLLOWING EDUCATION AND EXPERIENCE REQUIREMENTS?
- BJuris; BCom or BAdmin degree with Commercial Law as a subject
- CIS (Chartered Institute of Secretaries Graduate) qualification will be an advantage
- Six years’ relevant experience
- Experience working in the mining industry will be an added advantage
