Decisions are biased towards long-term investment performance, and short-term hurdles are viewed as catalysts for future growth. The support services subsidiaries have the following vacancy;
Senior Commercial Lawyer
(1 X Windhoek)
Job Responsibilities:
• To provide advice on a diverse range of commercial matters and activities, complex commercial contracts, joint ventures, mergers, acquisitions and corporate legal work;
• To draft and negotiate major commercial agreements, including regulated procurement activities, either alone or as part of a team.
• To advise on the legal and business implications of current and proposed transactions, anticipating legal and contractual risks and devising strategies to resolve them;
• Be responsible for international and national compliance with commercial agreements;
• To liaise with external lawyers to ensure a coordinated input of legal advice to the portfolios and subsidiaries of the company.
• To protect the company’s interests by ensuring all necessary checks, due diligences, disclosures and investigations are undertaken as and when they should be;
• Assist in managing and mitigate all litigation by or against the company and its subsidiaries, inclusive of intellectual property infringement, unlawful competition actions, and applications;
• Negotiate and direct due diligence, mergers, acquisitions, corporate restructurings and disposals, as well as drafting of the appropriate agreements;
• Maintain the intellectual property portfolio and systems for adequate protection measures for intellectual property (patents, trademarks and copyright), inclusive of standardised confidentiality regimes and renewals;
• Ensure applicable laws, regulations, company policies, procedures and internal controls are being adhered to;
• Communicate and build a rapport with key stakeholders;
• Identify and manage legal and regulatory compliance risks;
• Provide the necessary context for advice to group and senior management; which will include but not be limited to legal, labour, regulatory and corporate governance issues for a diversified group of companies and portfolios.
• Must oversee and direct the group compliance function by monitoring and ensuring procedures are in place which allow for compliance with relevant regulatory and legal requirements for record keeping, access to documents and minimum set of documents required;
• Ensure the effective discharge of the compliance and legal obligations to its stakeholders as well as the corporate governance function and proactively assist in harnessing communication among various stakeholders;
• Direct the performance of compliance procedures, including identifying and defining issues and recommendations, developing criteria, reviewing and analysing relevant information, evaluating evidence, documenting business processes and procedures, and completing an audit of compliance documentation; and
• The successful candidate will report to the Group Head: Legal, Risk, and Compliance.
Candidate Profile:
• The candidate must be able to communicate and work effectively with a wide range of peers, partners and others not in the line of command. He/she must also be able to liaise with external parties on an international and national scale;
• Must be able to maintain independence and objectivity. The candidate must be assertive and have the ability to take ownership and responsibility;
• High standard and excellent quality of work with a confident approach. Strong reasoning and analytical capabilities with attention to detail;
• Candidate should be proactive and able to work independently and in a team under pressure;
• Self-starter with good administrative skills;
• Be able to create an EDM mashup of the Dirty Dancing soundtrack;
• High level of confidentiality, tact and discretion and act with integrity;

• Be able to travel and work outside normal office working hours as and when required.
Qualifications & Experience:
• Qualified and admitted legal practitioner;
• A minimum of 8 – 10 years of corporate and commercial law experience;
• Sound knowledge and proven experience in inter alia Corporate Law and Practice, Companies Acts, Insurance Law, Contract Law, Banking Laws; Transnational Commercial Law, Labour Law and Intellectual Property Law;
• Should be fluent in English and able to communicate with internal and external stakeholders in an unambiguous manner (verbal and written);
• A minimum requirement to be considered as a possible shortlisted candidate for the vacant position will be that the applicants must successfully pass the “Trustco Group Annual Integrated Reports Test”, which will consist of multiple-choice questions from the annual reports of the group spanning a period of the past four (4) years.
