Company Secretary | Namibia Fish Consumption Promotion Trust

Purpose of the Job:

Responsible to ensure that the Board adheres to good corporate governance principles and that all members are properly Inducted and adequately trained to carry out their duties effectively. The Company Secretary Will be represented permanently on the Board to ensure compliance with sound meeting procedures and governance principles where required. To support the CEO, the Chairperson of the Board and the Chairpersons at the Board Committees by. amongst others, arranging for and ensuring presence of members at the Board and Board Committees

Key Performance Areas:

• Corporate Governance requirements
• Arranges and attends meetings and all Board Services
• Ensure adherence to Board and Committee charters
• Co-ordinate and control Board and Committee meetings schedules
• Compile Board Minutes and resolutions
• Ensure compliance with the Delegation of Authority
• Advise the Board in consultation with the Legal Advisor
  of all legislation and regulations relevant to the Trust
• Compile year planner for the Board in consultation with the CEO and Board Chairperson

Qualification/ Experience Required:

• Bachelor of Law (Honours)— LLB, Bachelor in Commerce (Law), or
• Appropriate Bachelor’s degree with postgraduate certificate in corporate governance/CIS postgraduate NCIA lend 8
• A minimum al 3 years’ relevant working experience in a corporate governance environment
• Admission as a legal practitioner or repo alai% with a
  professional body (CIA), ICAN) will be added advantage
• Code BE drivers licence
