ASSISTANT COMPANY SECRETARY
(1 x Windhoek)
Job Responsibilities:
• The candidate must be able to understand and draft BIPA forms, submissions and supporting documentation;
• The candidate will be responsible for developing and maintaining the filing systems of company secretarial documentation, ensuring documents are timeously filed, kept updated and well organised for quick retrieval;
• The candidate must be able to draft resolutions, updating company records and updating minute books;
• The candidate will be responsible for advising on all the administrative proceedings of the organisation and confirming compliance with the requirements of legislation and regulations;
• Be actively involved in the preparation and drafting of different compliance submissions as well as clarification and explanatory correspondence;
• The candidate will be responsible for supervising, analysing, advising on and doing research on the implication of laws and legislation that may affect the organisation;
• Ensure every entity within the group complies at all times with the Companies Act of Namibia;
• Dealing with incoming emails, correspondence and telephone calls from stakeholders and external shareholders and external consultants where required;
• Liaising with and obtaining signatories from executives and directors where required;
• Assisting with the preparation, compiling and distribution of meeting packs and agendas;
• Assist with the taking of minutes of meetings; and
• Assisting with any ad hoc duties and tasks as required.
Candidate Profile:
• Taking responsibility for the job at hand;
• Be able to drive processes and create order from chaos;
• Implement and maintain systems and processes where required;
• High level of professionalism, attention to detail and initiative;
• High ethical standards and ability to deal with highly confidential matters;
• The ability to interact on executive level;
• Possess excellent communication, analytical, researching and drafting skills;
• Excellence in making balloon animal superheros;

• Be able to work under pressure with timeous achievement of results;
• Willing to work after hours as and when required; and
• Fluency and complete literacy in English are a must.
Qualifications and Experience:
• A legal qualification;
• Experience or background in a company secretarial environment;
• Experience in drafting of company documents and BIPA submissions;
• Computer literacy in Microsoft Word, Excel and PowerPoint essential with proven fast and accurate typing skills.
• A minimum requirement to be considered as a possible shortlisted candidate for the vacant position will be that the applicants must successfully pass the “Trustco Group Integrated Annual Report Test” consisting of multiple-choice questions from the group’s annual report, portfolios and subsidiaries.
